Terms of Service

These terms govern your use of leanthing.com and the Leanthing private preview. They are not the agreement under which any Leanthing product is licensed or sold — see section 17.

1. Who you are contracting with

leanthing.com is operated by Leanthing Public Benefit Corporation, a Texas public benefit corporation (“Leanthing”, “we”, “us”), 8000 Research Forest Dr Ste 115-264, The Woodlands, Texas 77382-1504, United States. Contact: hello@leanthing.com.

2. Acceptance and scope

By accessing leanthing.com (the “Site”) or the private preview made available through it (the “Preview”), you agree to these Terms. If you do not agree, do not use the Site.

These Terms cover the Site and the Preview. They do not grant any license to Leanthing’s software products, and they are not the agreement under which any product is sold or licensed (see section 17).

3. Eligibility and authority

You must be at least 18 years old. If you access the Preview on behalf of an organization, you confirm you are authorized to accept these Terms for that organization, and “you” means both you and it.

4. The private preview

The Preview is offered by invitation, at our discretion, before public launch.

  • Your invitation is personal and non-transferable. Sign-in links are issued to a single named email address. Do not share them, and do not let anyone else use your access.
  • Preview material is confidential. The Preview contains information about products that are not publicly announced — including product names, capabilities, roadmap and pricing. You agree not to disclose, publish, screenshot for publication, or otherwise share that material outside your organization, and to treat it with at least the care you use for your own confidential information, until we make it public. This obligation survives the end of your access.
  • Nothing in the Preview is a commitment. Products, capabilities, timing and pricing shown are subject to change and may never ship. Nothing in the Preview is an offer to sell.
  • We may withdraw access at any time, for any reason, without notice.

5. No offer, and forward-looking statements

Content on the Site describes what we are building. It is not an offer, a warranty of future availability, or a commitment to any feature, price or date. Statements about future products are forward-looking and may change.

6. Acceptable use

You agree not to:

  • circumvent, disable or probe the Site’s access controls, or attempt to reach non-public areas;
  • use automated means to scrape, crawl or harvest the Site or the Preview beyond ordinary search-engine indexing of public pages;
  • conduct security testing, penetration testing or vulnerability scanning without our prior written permission (we welcome good-faith reports to hello@leanthing.com);
  • interfere with the Site’s operation, or introduce malicious code;
  • use the Site unlawfully;
  • misrepresent your identity or affiliation.

7. Intellectual property

The Site’s content, design, text, graphics, and the Leanthing name and keystone mark are owned by Leanthing or its licensors, and are protected by intellectual-property law. Except as these Terms allow, you may not copy, adapt or redistribute them.

Open components are governed by their own licenses, not by these Terms. GEL and FieldTape are published by Leanthing under the Apache License 2.0; the CMG and OCS specifications and their reference implementations are published by the Free Collaboration Foundation under the Apache License 2.0.

Nothing in these Terms limits, conditions or revokes any right granted to you under those licenses. Where these Terms and an open-source license conflict as to that software, the open-source license governs.

8. Feedback

If you send us feedback, ideas or suggestions about the Site or the Preview, we may use them without restriction or obligation to you. Do not send us anything you consider confidential or proprietary, or anything you are not free to share.

9. Third-party links

The Site links to third-party sites, including freecollaboration.org. We are not responsible for their content or practices, and a link is not an endorsement.

10. Privacy

Our handling of personal data is described in the Privacy notice.

11. Availability

The Site and the Preview are provided on an “as available” basis. We may change, suspend or discontinue either at any time, and we do not promise uninterrupted availability.

12. Disclaimers

To the fullest extent permitted by law, the Site and the Preview are provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Site will be error-free or secure, or that any information on it is accurate or complete.

13. Limitation of liability

To the fullest extent permitted by law, Leanthing will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenues, data, or business opportunity, arising out of or relating to your use of the Site or the Preview, whether in contract, tort or otherwise, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Site or the Preview will not exceed one hundred United States dollars (US$100).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

14. Export control and sanctions

You represent that you are not located in, ordinarily resident in, or organized under the laws of any country or territory subject to comprehensive United States sanctions, and that you are not a person with whom United States persons are prohibited from dealing — including any party named on the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List, the U.S. Department of Commerce’s Denied Persons, Entity or Unverified Lists, or any equivalent restricted-party list.

You agree not to access or use the Site or the Preview, or export, re-export or transfer any material obtained from them, in violation of United States export-control or economic-sanctions laws, or the equivalent laws of any other applicable jurisdiction.

15. Accessibility

We intend the Site to be usable by everyone, and we work toward the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you encounter a barrier, please tell us at hello@leanthing.com and we will work with you to provide the information or function you need by another means.

16. Changes to these Terms

We may update these Terms. The current version is always at this URL, with the date it took effect. If we make a material change, we will take reasonable steps to tell invited Preview users. Continuing to use the Site after a change means you accept it.

17. Relationship to product agreements

These Terms govern the Site and the Preview only. Where you license or subscribe to a Leanthing product, that product’s license, subscription or OEM agreement governs your use of it, and supersedes these Terms as to that product. Nothing in these Terms grants any right to use a Leanthing product, and nothing in these Terms should be read as governing a paid product.

18. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Harris County, Texas have exclusive jurisdiction, and you and we consent to venue there.

Nothing in these Terms limits any right you have under the mandatory consumer-protection law of your country of residence that cannot be waived by agreement.
